End-User License Agreement (EULA)¶

READ CAREFULLY. This End-User License Agreement ("EULA") is a legal agreement between you (an individual or legal entity, "LICENSEE") and MOKA Studio Ltda, Brazilian tax ID (CNPJ) 27.735.107/0001-34, with principal place of business in Divinópolis, MG, Brazil ("LICENSOR"), concerning the software Octo Tools ("Octo Tools" or "SOFTWARE").
By installing, activating or using the SOFTWARE, the LICENSEE represents that they have read, understood and fully agree to this EULA. If you do not agree, do not install and do not use the SOFTWARE, and request a refund under Section 8.
1. Definitions¶

2. Scope and grant of license¶
2.1. Subject to payment of the applicable fee and compliance with this EULA, the LICENSOR grants the LICENSEE a non-exclusive, non-transferable, revocable, paid license to install and use the SOFTWARE on one (1) AUTHORIZED DEVICE, solely for the purposes described in the official documentation.
2.2. The license is perpetual for the MAJOR VERSION in effect at the time of purchase (e.g. any 1.x version), including maintenance updates and fixes. Future MAJOR VERSIONS (2.0+) may require a new purchase.
2.3. The LICENSEE may request AUTHORIZED DEVICE transfer by contacting the LICENSOR at erichvilela@gmail.com. Transfers are permitted at a reasonable frequency (up to 3 per calendar year); abuse may result in suspension.
3. Restrictions¶
The LICENSEE shall NOT:
a) Copy, distribute, sublicense, rent, lend or resell the SOFTWARE or the LICENSE KEY; b) Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the SOFTWARE, except to the extent expressly permitted by law; c) Modify, translate or create derivative works of the SOFTWARE; d) Remove, alter or obscure copyright notices, trademarks, identifiers or other proprietary notices; e) Use the SOFTWARE to develop a competing product; f) Share the LICENSE KEY with third parties; g) Circumvent license protection, activation or verification mechanisms.
4. Intellectual property¶
4.1. The SOFTWARE is licensed, not sold. All intellectual property rights in the SOFTWARE — including copyright, trademarks, trade secrets and patents, where applicable — remain with the LICENSOR and its licensors.
4.2. LICENSEE work product: poses, rigs, generated scripts, state files (.tbState) and any other artifacts produced by the LICENSEE using the SOFTWARE belong exclusively to the LICENSEE. The LICENSOR makes no claim to the LICENSEE's created content.
4.3. Toon Boom Harmony® is a registered trademark of Toon Boom Animation Inc. Octo Tools is not affiliated with, sponsored by or endorsed by Toon Boom Animation Inc.
5. License tiers¶

The LICENSOR may offer additional tiers; specific terms will be stated at purchase.
6. Activation and validation¶
6.1. Activation requires the LICENSE KEY and creates the binding to the MACHINE ID.
6.2. The SOFTWARE may perform periodic license validation. Persistent validation failure may result in restricted mode until reactivation.
6.3. The LICENSOR may revoke the LICENSE KEY in case of fraud, illegitimate chargeback, or violation of this EULA.
7. Updates and support¶
7.1. Updates: the LICENSOR may make updates available within the licensed MAJOR VERSION. Updates do not constitute a contractual obligation and may be discontinued without notice after official support for the MAJOR VERSION ends.
7.2. Support: the LICENSOR offers best-effort email support (erichvilela@gmail.com), with no guaranteed response time. Support does not include training, customization, or on-demand development.
7.3. End of life: the LICENSOR reserves the right to discontinue the SOFTWARE or a MAJOR VERSION at any time. Previously issued LICENSE KEYS will remain valid for the corresponding version.
8. Payment, refund and chargeback¶
8.1. The price, payment method and currency are stated at purchase. Processing is performed by Creem (Armitage Labs OÜ, Estonia), acting as Merchant of Record.
8.2. Refund policy: the LICENSEE may request a refund within 14 (fourteen) days of purchase, with no justification required, in line with Brazilian Consumer Protection Code (Art. 49) and Creem's policy.
8.3. After the cooling-off period, refunds will be analyzed case by case and may be denied where the SOFTWARE has been substantively used.
8.4. Illegitimate chargeback (card dispute filed without prior contact attempt) constitutes a breach of this EULA and results in immediate revocation of the LICENSE KEY.
9. Warranty and disclaimer¶
9.1. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED PERFORMANCE.
9.2. The LICENSOR does not warrant that the SOFTWARE is error-free or that it will be compatible with future versions of Toon Boom Harmony, operating systems or hardware.
9.3. The LICENSEE is solely responsible for backups of their scenes, projects and data. The LICENSOR is not liable for losses arising from use of the SOFTWARE.
10. Limitation of liability¶
10.1. To the maximum extent permitted by law, in no event shall the LICENSOR be liable for indirect, incidental, consequential damages, lost profits, loss of data, business interruption or other consequential losses arising from the use or inability to use the SOFTWARE.
10.2. The LICENSOR's total liability, in any event, is limited to the amount actually paid by the LICENSEE for the LICENSE KEY in the 12 (twelve) months preceding the event.
10.3. The limitations in this Section do not apply to damages resulting from the LICENSOR's willful misconduct or gross negligence, nor do they waive basic consumer rights under the Brazilian Consumer Protection Code.
11. Term and termination¶
11.1. This EULA enters into force on the date of acceptance and remains in effect while the license is active.
11.2. The LICENSOR may terminate this EULA immediately in case of breach by the LICENSEE, revoking the LICENSE KEY, without prejudice to any indemnity owed.
11.3. Upon termination, the LICENSEE must uninstall the SOFTWARE from all devices.
11.4. Sections 3, 4, 9, 10 and 14 survive termination.
12. Privacy¶
The processing of personal data is governed by the Privacy Policy, which forms an integral part of this EULA.
13. Amendments¶
The LICENSOR may amend this EULA. Material changes will be communicated at least 30 (thirty) days in advance by email. Continued use of the SOFTWARE after the effective date constitutes acceptance.
14. General provisions¶
14.1. Governing law: this EULA is governed by the laws of Brazil.
14.2. Jurisdiction: the courts of Divinópolis, Minas Gerais, Brazil are designated as exclusive forum for any disputes, the parties waiving any other forum however privileged.
14.3. Severability: if any provision of this EULA is held invalid, the remaining provisions shall continue in full force.
14.4. Assignment: the LICENSEE may not assign this EULA without the LICENSOR's prior written consent.
14.5. Entire agreement: this EULA, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between the parties regarding the SOFTWARE.
